These Terms of Use, together with any order form, subscription checkout page, invoice, quote, service schedule, product page, policy, or other terms expressly incorporated by reference (collectively, the “Terms”), govern your access to and use of PriceMatters.com, including our website, product discovery tools, image search, sourcing, factory liaison, order placement, direct shipment to members, bulk shipment, warehouse, logistics support, customer support, and related services (collectively, the “Services”).
The Services are operated by Evolution World Wide Limited (“PriceMatters,” “we,” “us,” or “our”). By creating an account, selecting a plan, submitting a product search, placing an order, uploading content, or otherwise accessing the Services, you agree to these Terms. If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
1. Business Use; Eligibility
The Services are intended for businesses, online merchants, retailers, product developers, sourcing professionals, and other commercial users. You must be at least the age of majority in your jurisdiction and able to form a legally binding contract. You may not use the Services if you are prohibited from doing so under applicable law or trade restrictions.
2. What PriceMatters Does
PriceMatters provides a factory-direct sourcing and member-shipment platform that may include:
- product discovery using keyword search, image search, or other tools;
- access to factory listings, supplier information, product quotations, and trending product information;
- communication with factories or suppliers, including translation, negotiation support, and factory liaison services;
- order facilitation, sourcing, purchasing support, and related coordination;
- direct shipment to members, bulk shipping, warehousing, packaging, and logistics coordination;
- currency settlement support and payment coordination; and
- customer support and other value-added services.
PriceMatters is not the manufacturer of third-party products. Unless we expressly state otherwise in a written quote or invoice, products are manufactured, supplied, warranted, labeled, packaged, and documented by third-party factories, suppliers, carriers, warehouses, or other service providers.
3. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate, complete, and current information and promptly update it as needed. We may refuse, suspend, or terminate accounts that contain inaccurate information, are used for unlawful activity, or create operational, legal, payment, or reputational risk.
You may not share account access with unauthorized users, scrape the Services, reverse engineer non-public systems, interfere with platform security, or use the Services in a way that exceeds reasonable business use or applicable plan limits.
4. Subscription Plans and Membership Fees
PriceMatters offers subscription plans that may include Starter, Silver, Gold, Platinum, Diamond, or other plans shown on the pricing page, in your account, at checkout, or in a written quote. Plan names, monthly or annual fees, included product searches, sourcing fees, factory markup percentages, support features, trending product access, and other benefits may vary by plan and may change from time to time.
Unless otherwise stated at checkout or in a written agreement:
- subscription fees are charged in advance on a monthly or annual basis;
- subscriptions automatically renew at the end of each billing period until cancelled;
- you authorize us and our payment processors to charge your selected payment method for recurring fees, usage fees, order charges, add-on fees, taxes, duties, and any other amounts owed;
- included product searches, credits, or plan benefits are for the applicable billing period only, are not redeemable for cash, and do not roll over unless expressly stated;
- additional searches, credits, or services may be purchased at then-current rates;
- upgrades may take effect immediately and may result in prorated or immediate charges;
- downgrades usually take effect at the next renewal unless we agree otherwise; and
- cancelling a plan prevents future renewal charges but does not automatically refund fees already charged or cancel pending sourcing, member shipment, bulk shipment, storage, or other order-related obligations.
5. Pricing, Sourcing Fees, and Value-Added Services
Product prices, factory costs, availability, order minimums, shipping costs, currency rates, service fees, packaging fees, storage fees, customs charges, duties, taxes, and other costs are subject to change until confirmed in a final quote, invoice, order confirmation, or checkout page.
Your plan may determine applicable sourcing fees or factory markup percentages. Additional fees may apply for custom or complicated sourcing, packaging material, warehouse storage, factory liaison services, cargo bulk shipment, special handling, quality checks, returns, refused shipments, re-routing, customs work, or other requested services.
You are responsible for reviewing and approving all quotes, invoices, product specifications, quantities, shipping methods, delivery addresses, customs information, and fees before authorizing payment or shipment.
6. Product Searches, Images, and Uploaded Content
You may submit keywords, images, product descriptions, URLs, files, product specifications, or other content to use the Services (“User Content”). You represent and warrant that you have all rights and permissions necessary to submit and use User Content for the requested purpose and that User Content does not violate any law, intellectual property right, privacy right, publicity right, platform policy, or third-party agreement.
You grant PriceMatters and our service providers a non-exclusive, worldwide, royalty-free license to host, copy, process, display, transmit, translate, analyze, and otherwise use User Content as reasonably necessary to provide, protect, improve, and support the Services, communicate with suppliers and logistics providers, process orders, and comply with law.
Search results, product matches, supplier listings, factory listings, trending product information, projected margins, demand indicators, product comparisons, and related materials are provided for convenience and business research only. We do not guarantee that any search result is exact, available, legal to import or sell, non-infringing, profitable, compliant with marketplace policies, or suitable for your intended use.
7. Product Availability, Specifications, and Quality
Product listings, images, samples, measurements, packaging descriptions, delivery estimates, certifications, labels, supplier claims, and factory information are based on information made available by suppliers or third parties and may be incomplete, inaccurate, outdated, or subject to change.
You are responsible for determining whether a product is suitable for your market, sales channels, customers, advertising claims, packaging requirements, certification requirements, labeling requirements, import requirements, and applicable laws. If you require product testing, certification, inspection, special packaging, brand customization, or quality control, you must request it before ordering and pay any applicable fees.
Unless expressly stated in writing, PriceMatters does not provide product warranties and does not guarantee merchantability, fitness for a particular purpose, non-infringement, compliance, profitability, marketplace acceptance, sales performance, or customer satisfaction.
8. Orders and Authorization to Source
When you approve a quote, place an order, submit payment, or authorize a sourcing request, you authorize PriceMatters to take reasonable steps to facilitate the requested transaction, which may include communicating with suppliers, confirming product information, arranging purchase or procurement, coordinating payment, arranging factory shipment to a partner warehouse, arranging direct shipment to you as the member or arranging bulk shipment, and engaging third-party service providers.
Orders may be subject to supplier acceptance, product availability, payment clearance, shipping availability, compliance review, fraud review, and operational capacity. We may reject, cancel, suspend, or modify an order if we reasonably believe the order is inaccurate, unlawful, non-compliant, unpaid, high-risk, or not commercially feasible.
Unless otherwise stated in writing, delivery dates, transit times, customs clearance times, factory lead times, and shipment and logistics times are estimates only.
9. Payments, Currency, Taxes, Duties, and Chargebacks
You must pay all fees and charges when due. Prices may be displayed or settled in your local currency where available. Currency conversions, foreign exchange rates, bank charges, card charges, payment processor fees, taxes, customs charges, import duties, tariffs, brokerage fees, storage charges, remote-area charges, return charges, refused-shipment charges, and similar amounts may be charged to you or deducted from amounts otherwise payable.
You are responsible for all taxes, duties, tariffs, customs declarations, product classifications, import permits, export permits, and compliance costs associated with products you source, import, sell, or ship, except for taxes based solely on PriceMatters’ income.
You may not initiate a chargeback or payment dispute without first contacting us in good faith to resolve the issue. If you initiate an improper chargeback or fail to pay amounts owed, we may suspend your account, cancel pending orders, withhold shipment, retain goods to the extent permitted by law, recover collection costs, and require advance payment for future services.
10. Shipping, Bulk Shipment, and Warehousing
PriceMatters may arrange shipment of sourced products directly to you as the member, bulk shipment to you or your designated business location, shipment to or from partner warehouses, or related logistics services. Shipping services may be performed by third-party carriers, warehouses, customs brokers, freight forwarders, postal services, or delivery companies.
You are responsible for providing complete and accurate member delivery details, business delivery addresses, phone numbers, customs descriptions, declared values, product information, receiving instructions, marketplace requirements, and any other information required for shipment or related logistics services.
Risk of loss, damage, delay, confiscation, return, non-delivery, customs inspection, customs seizure, refused delivery, or carrier error is allocated as stated in the applicable quote, invoice, order confirmation, shipping terms, or carrier terms. If not expressly stated, risk transfers no later than delivery of the goods to the applicable carrier, warehouse, freight forwarder, you as the member, or your designated business recipient, to the maximum extent permitted by law.
Warehouse storage may be subject to time limits and storage fees. Goods left in storage after the free storage period or after written notice may incur storage charges, handling charges, disposal charges, or other costs. If goods remain unpaid, unclaimed, or undeliverable after reasonable notice, we may dispose of, donate, return, resell, or otherwise handle the goods as permitted by law, and you remain responsible for all related costs.
11. Returns, Refunds, Defects, and Customer Issues
Because many products are sourced from third-party factories or suppliers and may be shipped internationally, all sales, sourcing fees, subscription fees, shipping fees, custom sourcing fees, packaging fees, liaison fees, and other service fees are non-refundable unless expressly stated in writing or required by law.
If you believe an order is missing, damaged, defective, materially different from the approved specification, or incorrectly fulfilled, you must notify us within [7] days after delivery or expected delivery, with photographs, video, packaging evidence, order numbers, tracking numbers, and any other information we reasonably request. Failure to provide timely and adequate evidence may limit available remedies.
Any remedy may be limited to supplier-provided remedies, carrier claim recoveries, replacement, repair, partial credit, reshipment, or refund of the affected goods or service fees, as determined by PriceMatters in its reasonable discretion and subject to supplier, carrier, and warehouse policies. We are not responsible for lost profits, marketplace penalties, advertising costs, customer refunds, chargebacks from your customers, reputational harm, or consequential losses.
PriceMatters ships sourced products to you as the member, not directly to your customers. You are solely responsible for any later resale, distribution, or delivery to your own customers, including sales terms, product descriptions, advertising claims, order confirmations, customer service, refund policies, consumer protection obligations, privacy notices, marketplace compliance, taxes, and post-sale support.
12. Prohibited Products and Restricted Uses
You may not use the Services to source, sell, receive, ship, advertise, or facilitate products or activities that are unlawful, unsafe, counterfeit, infringing, deceptive, sanctioned, restricted, or prohibited by applicable law, carrier rules, payment processor rules, marketplace policies, or PriceMatters policies.
Restricted products may include, without limitation, counterfeit goods, goods that infringe intellectual property rights, weapons, controlled substances, hazardous materials, regulated chemicals, medical devices, pharmaceuticals, supplements, food products, cosmetics, children’s products, surveillance devices, branded goods without authorization, products subject to export controls or sanctions, and any products requiring special permits, testing, certification, labeling, or licenses.
We may refuse, cancel, suspend, or require additional documentation for any product or transaction that we believe creates legal, safety, compliance, payment, customs, carrier, or reputational risk.
14. Intellectual Property
The Services, website, software, databases, search tools, translation tools, workflows, designs, text, graphics, logos, trademarks, code, content, and other materials provided by PriceMatters are owned by PriceMatters or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, reproduce, modify, distribute, sell, lease, sublicense, reverse engineer, scrape, or create derivative works from the Services or our content.
You retain ownership of your User Content, subject to the license granted in these Terms. You are responsible for ensuring that products, images, descriptions, packaging, logos, brand names, advertising claims, and other materials you submit or request do not infringe third-party rights.
15. Confidentiality
If either party receives non-public business, technical, financial, supplier, pricing, customer, operational, or other confidential information from the other party, the receiving party must use reasonable care to protect it and may use it only for purposes of performing or receiving the Services. This obligation does not apply to information that is publicly available, independently developed, rightfully received from another source, or required to be disclosed by law.
16. Privacy and Data Protection
Our collection, use, storage, and disclosure of personal information are described in the Privacy Policy below, which forms part of these Terms. By using the Services, you acknowledge that personal information may be processed in multiple jurisdictions and by third-party service providers such as payment processors, hosting providers, analytics providers, logistics providers, warehouses, carriers, customs brokers, suppliers, and support providers.
If you submit personal information about your customers, employees, contractors, or other individuals, you represent that you have provided all required notices, obtained all required consents, and have a lawful basis to provide that information to PriceMatters for order processing, fulfillment, customer support, payment, compliance, and related purposes.
17. Acceptable Use
You may not:
- use the Services for unlawful, fraudulent, deceptive, infringing, harmful, or abusive activity;
- submit false, misleading, incomplete, or unauthorized information;
- violate import, export, sanctions, customs, consumer protection, product safety, advertising, privacy, anti-spam, tax, or marketplace laws;
- interfere with or disrupt the Services;
- attempt to gain unauthorized access to any system, account, database, or network;
- scrape, harvest, bulk download, or misuse supplier data or product listings;
- upload malware, harmful code, or unlawful content;
- impersonate another person or misrepresent your affiliation;
- use the Services to compete with PriceMatters or build a substantially similar service; or
- assist anyone else in doing any of the above.
18. Suspension and Termination
We may suspend or terminate your account, Services, member account tools, pending searches, pending orders, shipments, or plan benefits if we reasonably believe that you have violated these Terms, failed to pay amounts owed, created legal or operational risk, submitted restricted products, engaged in fraud or abuse, misused the platform, or if suspension is necessary to protect PriceMatters, suppliers, carriers, customers, or third parties.
You may cancel your subscription through your account or by contacting us using the published support channels. Cancellation does not relieve you of obligations incurred before cancellation, including payment obligations, approved order charges, sourcing commitments, shipping fees, storage charges, customs charges, or other amounts owed.
Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, dispute resolution, and any accrued rights or remedies.
19. Disclaimers
To the maximum extent permitted by law, the Services, product information, supplier information, factory listings, search tools, translation tools, logistics services, and all related materials are provided on an “as is” and “as available” basis.
PriceMatters does not warrant that:
- the Services will be uninterrupted, secure, timely, error-free, or compatible with all systems;
- product information, supplier information, factory information, prices, availability, images, translations, delivery estimates, or search results will be accurate, complete, current, or reliable;
- any product will be profitable, marketable, legal to import, legal to sell, non-infringing, compliant with laws or marketplace rules, or suitable for your intended use;
- any supplier, carrier, warehouse, customs broker, marketplace, payment processor, or other third party will perform as expected; or
- any delivery date, transit time, cost estimate, return outcome, customs result, or business result will be achieved.
We do not provide legal, tax, customs, product safety, accounting, insurance, marketplace compliance, or financial advice. You should obtain professional advice before importing, selling, advertising, or distributing products.
20. Limitation of Liability
To the maximum extent permitted by law, PriceMatters and its affiliates, directors, officers, employees, contractors, agents, suppliers, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost business opportunities; marketplace penalties; loss of goodwill; loss of data; customer claims; chargebacks; procurement of substitute goods or services; shipping delays; customs delays; product defects; or third-party acts or omissions, even if advised of the possibility of such damages.
To the maximum extent permitted by law, PriceMatters’ total aggregate liability arising out of or relating to these Terms, the Services, any subscription, any order, any product, or any shipment will not exceed the greater of: (a) the amount of service fees paid by you to PriceMatters for the specific Service giving rise to the claim during the three months before the event giving rise to liability; or (b) US$100. This cap excludes amounts that cannot be limited under applicable law.
21. Indemnity
You will defend, indemnify, and hold harmless PriceMatters and its affiliates, directors, officers, employees, contractors, agents, suppliers, licensors, and service providers from and against all claims, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- your products, store, customers, listings, advertising, sales, refunds, chargebacks, or marketplace accounts;
- your User Content, product specifications, images, trademarks, logos, descriptions, or requested customizations;
- your breach of these Terms;
- your violation of law, third-party rights, marketplace rules, carrier rules, payment processor rules, import/export rules, sanctions rules, tax obligations, customs requirements, or product safety requirements;
- any product you request, source, import, receive, sell, ship, or distribute using the Services;
- inaccurate information, addresses, customs declarations, product descriptions, or instructions you provide; or
- disputes between you and your customers, suppliers, marketplaces, payment processors, carriers, customs authorities, or other third parties.
22. Changes to the Services or Terms
We may update the Services, plans, pricing, features, support levels, search allowances, fees, policies, or these Terms from time to time. The updated Terms will be effective when posted or otherwise notified, unless a later date is stated. Your continued use of the Services after the effective date means you accept the updated Terms. If a change materially affects an active paid subscription, we will use commercially reasonable efforts to provide notice before the change takes effect, where required by law.
23. Force Majeure
PriceMatters will not be liable for any delay, failure, non-performance, loss, damage, or additional cost caused by events beyond our reasonable control. Such events may include natural disasters, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labour disputes, supplier disruption, factory shutdown, port congestion, customs action, government restriction, import or export ban, sanctions, carrier delay, shortage of transportation, shortage of energy, power failure, internet or hosting outage, payment network disruption, cyber incident, or other events that materially affect our ability to provide the Services.
If a force majeure event affects sourcing, production, warehousing, shipment, customs clearance, delivery, support, or other Services, affected deadlines and obligations will be extended for the period reasonably affected by the event. We will use commercially reasonable efforts to notify affected members and reduce the impact where practical.
24. Severability and Waiver
If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be interpreted or replaced to the greatest extent possible to achieve the original commercial and legal purpose.
A failure or delay by either party to exercise any right or remedy under these Terms will not operate as a waiver of that right or remedy. A waiver of one breach will not be treated as a waiver of any other or later breach.
25. Governing Law and Disputes
These Terms are governed by the laws of Hong Kong, without regard to conflict of law rules, except to the extent mandatory law provides otherwise.
The parties will first attempt to resolve any dispute through good-faith negotiations. If a dispute cannot be resolved informally, then, unless mandatory law requires otherwise, the dispute will be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre under its applicable arbitration rules. The seat of arbitration will be Hong Kong, the language of the arbitration will be English, and the arbitral award will be final and binding.
Despite the arbitration provision, PriceMatters may seek urgent, injunctive, interim, or equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, platform security, payment rights, warehouse goods, shipment rights, or goods in our custody or control.
Where applicable law gives you mandatory rights that cannot be waived, nothing in these Terms limits those rights.
26. Notices and Communications
We may send notices to you by email, account message, website posting, invoice, quote, or other contact details associated with your account. Notices sent to you will be effective when sent or posted, unless a later effective date is stated.
You may send notices to us through the support channels listed on PriceMatters.com or at the contact details below. You are responsible for keeping your account, billing, and shipping contact information current and accurate.

A. Plans and Product Searches
PriceMatters may offer plans such as Starter, Silver, Gold, Platinum, and Diamond. Product search allowances, access to trending products, support features, and sourcing fees vary by plan. Any free trial, free credits, promotional pricing, or “Starter” access is subject to the limits displayed at registration, checkout, or in your account.
B. Additional Searches
Additional searches may be available for purchase at the then-current rate, such as a fixed fee for a bundle of additional searches. Additional searches are not refundable, not transferable, and may expire according to the terms shown at purchase.
C. Product Sourcing Fees and Factory Markup
Factory markup percentages and service fees may differ by plan. If a quote references a plan-based markup or service fee, that markup or fee is charged in addition to factory cost, shipping, taxes, duties, packaging, storage, custom sourcing, and other applicable fees unless expressly stated otherwise.
D. Value-Added Services
Value-added services may include custom or complicated sourcing, member shipment handling, packaging material, warehouse storage after the included storage period, requested factory liaison, cargo bulk ship service, and other services shown on the pricing page or agreed in writing. These fees are in addition to subscription fees and order charges.
E. Shipment Handling and Storage
Packaging, shipping, warehousing, member shipment handling, and cargo services may be charged per item, per order, per cubic foot, per shipment, per hour, or on another basis shown in the applicable quote, pricing page, invoice, or account dashboard.
F. Order-Specific Terms Control
If a written quote, order confirmation, invoice, or checkout page includes terms that are more specific than this schedule, the order-specific terms control for that order only.
